Full Description:  

 Position Overview: Administrator of Board Support will support the Corporation’s Board of Directors, assist the General Counsel and Associate General Counsel with Board-specific legal needs, and supervise two Board Executive Assistants. 

Essential Job Functions

  • Attend all regular monthly Board meetings and special meetings as required
  • Participate in monthly Board agenda planning meetings
  • Provide staff support to other Board Committee meetings, as requested
  • Work with Legal department to ensure legal formalities are followed with respect to the Annual Meeting, Election of Directors, and Shareholder Settlement Trust
  • Draft Board correspondence or documents, as required
  • Oversee Board candidate election process to ensure compliance with corporate by-laws and state law
  • Attend and assist with shareholder informational meetings
  • Board-directed special research projects
  • Supervise two Board Executive Assistants, ensuring that packets for monthly Board meetings are produced and delivered in a professional and timely manner
  • Assist CEO and General Counsel as requested with Carver Governance Monitoring Reports
 

Requirements

·         7+ years’ experience in corporate law, Board administration or other closely related field

·         Minimum two years supervisory/management level experience

·         Strongly prefer prior experience with Alaska Native Corporation(s)

·         Exceptional demonstrated verbal and written communication skills

·         Ability to integrate easily, and work well in a team environment

·         Excellent interpersonal skills and judgment, with ability to apply tact and diplomacy in all situations

·         Exceptional organizational skills

·         Strong listener

·         Ability to multi-task and prioritize work with attention to detail

·         Experience with Microsoft Office Suite (MSWord, Excel, PowerPoint, Outlook, Adobe and Sharepoint) required

·         Travel and some evening/weekend work required

·         Calm demeanor

 

Other Skills/Abilities

·         Understanding of the Alaska Native Claims Settlement Act, Alaska Native Corporations, and the Small Business Administration’s 8(a) Business Development Program.
